CNESS TERMS AND CONDITIONS

Please read these Terms and Conditions (“Terms”) carefully before using any services offered by Cness Inc. (“CNESS,” “Company,” “we,” “our,” or “us”). These Terms govern your access to and use of our platform, websites (including www.cness.co, www.cnessmentor.com, www.cness.ai, and www.cnesscertified.com), mobile applications, and all associated services (collectively, the “Service”).

1. DEFINITIONS

User: Any individual, organization, mentor, partner, certifier, seller, or buyer accessing or using the Service.
Platform: The digital ecosystem offered by CNESS, including certification tools, marketplace, social networking, AI tools, and content modules
CNESS Certification: A tiered recognition system for individuals and organizations aligned with conscious leadership and DoCM principles.
Ariven AI: Our proprietary AI-based assistant that provides recommendations based on platform data.
Visionary Council: Foundational members of the platform (individuals or organizations) who gain early access and strategic involvement.
Marketplace: A space where digital and physical conscious goods and services are offered by users and third-party vendors.

2. ACCEPTANCE OF TERMS

By accessing or using the Service, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Service immediately. You represent that you are over the age of 18 and have the legal authority to enter into these Terms.

3. USER ACCOUNTS

  • Provide accurate, current, and complete information
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activities under your account

4. MODULES AND USER ROLES

Individuals: Can join the Visionary Council, receive certifications, engage in communities, or sell digital goods.
Organizations: Can seek certification, join as Visionary Council members, list in the directory, and list products or services.
Mentors/Partners: Licensed roles subject to annual fees, revenue sharing, and conduct standards.
Certifiers: May be appointed or licensed to assess and certify based on CNESS criteria.
Sellers/Buyers: Use the Marketplace per Section 6.

5. CERTIFICATION & DIRECTORY

  • Certification does not imply endorsement or guarantee of future results
  • Certification status can be revoked upon violation of ethical or procedural standards
  • Public directory listings may be visible to third parties

6. MARKETPLACE TERMS

  • Buyers and sellers are responsible for fulfilling, shipping, or refunding purchases
  • CNESS earns commissions on sales and reserves the right to remove listings
  • Users must comply with all local and international laws related to products/services sold

7. SUBSCRIPTIONS, PAYMENTS & REFUNDS

  • One-time fees include Visionary Council contributions and certifications
  • Subscription-based services apply to mentorship programs, directory listings, and content tiers
  • Payment failures or chargebacks may result in account suspension
  • Refund policies vary by product type and will be stated clearly at the point of sale

8. ARIVEN AI AND CONTENT TOOLS

  • It is not a substitute for professional advice (legal, medical, financial, etc.)
  • CNESS is not liable for decisions based on AI-generated content
  • We may use your data (anonymously and in aggregate) to improve our systems

9. USER-GENERATED CONTENT

By submitting content to the platform (e.g., best practices, media, comments, listings), you grant CNESS a worldwide, royalty-free license to use, display, and share such content for platform-related purposes. You affirm that:

10. INTELLECTUAL PROPERTY

All logos, branding, technology, and original platform content are owned by CNESS or licensed to us. You may not:

  • Use our intellectual property without consent
  • Misrepresent affiliation with CNESS

11. TERMINATION

CNESS may terminate or suspend your access for any violation of these Terms or misuse of the platform. Upon termination, all rights granted to you cease immediately.

12. LIMITATION OF LIABILITY

  • Losses related to certifications, transactions, or user connections
  • Indirect, incidental, or consequential damages
  • Errors from third-party integrations

13. DISCLAIMERS

  • The Service is provided “as-is” without warranties of any kind
  • We make no guarantees about platform uptime, outcomes, or accuracy
  • Some jurisdictions do not allow exclusions, so parts of this section may not apply

14. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of California, United States. Any disputes shall be resolved through binding arbitration in California, unless otherwise required by law.

15. GLOBAL USERS & COMPLIANCE

  • Users in the EU, UK, and other jurisdictions are subject to local data rights (see Privacy Policy)
  • You represent you are not on any U.S. sanctions or embargo lists

16. CHANGES TO TERMS

We may modify these Terms at any time. Material changes will be communicated via email or platform notice. Continued use constitutes acceptance.
